1. Business customers and orders
These terms apply to goods supplied by Agriact Pty Ltd to business customers. A request, purchase order or payment is an offer to buy. Agriact accepts an order only by written confirmation or dispatch. We may reasonably decline an order before acceptance.
2. Product, price and GST
Products are identified by the accepted quote, including relevant variant, barcode, pack and quantity. Prices are in Australian dollars. Quotes state whether GST and freight are included or additional. A quote expires on its stated date and may be revised before acceptance if supply inputs change.
3. Payment and credit
Payment is due as stated in the accepted quote or invoice. Credit terms apply only if approved in writing. We may pause unfulfilled supply for overdue undisputed amounts after reasonable notice.
4. Availability and substitutions
Supply is subject to availability. We will not substitute a materially different product without the buyer’s agreement. Packaging changes that do not materially alter the ordered product may occur, but barcode-sensitive buyers should state that requirement before acceptance.
5. Delivery, risk and title
Delivery dates are estimates unless expressly agreed as fixed. Risk passes when goods are delivered to the agreed destination or collected by the buyer or its carrier, as stated in the order. Title remains with Agriact until cleared payment for those goods is received, to the extent permitted by law.
6. Inspection and claims
Inspect goods promptly. Notify us within 5 business days of visible transit damage, shortages or incorrect goods where reasonably practicable. This period helps investigation and does not remove any right or remedy that cannot lawfully be excluded. Preserve goods, packaging, labels and evidence while a claim is assessed.
7. Returns and non-excludable rights
Returns are handled under our Refunds and Returns Policy. Change-of-mind or over-ordering returns require prior written approval. Nothing in these terms excludes, restricts or modifies consumer guarantees or other rights that cannot lawfully be excluded.
8. Resale and marketplace responsibility
The buyer is responsible for its resale listings, claims, pricing, licences, approvals and compliance. Invoices or supply documents do not guarantee acceptance by Amazon, eBay or another marketplace.
9. Liability
To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential loss. Any permitted limitation is subject to non-excludable rights and is applied only to the extent reasonable and lawful.
10. Delays outside reasonable control
A party is not liable for delay caused by circumstances beyond its reasonable control if it promptly notifies the other party and takes reasonable steps to reduce the effect. Payment obligations for goods already supplied are not excused.
11. Disputes and law
The parties should first try in good faith to resolve a dispute through nominated contacts. These terms are governed by New South Wales law. Nothing prevents urgent relief or use of a statutory complaint process.
